Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website located at www.t2consulting.co (the "Site") and any services, tools, or content made available through the Site by T2 Consulting LLC ("T2 Consulting," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Site immediately.

Note: These Terms of Service do not constitute legal advice. T2 Consulting recommends that you consult qualified legal counsel regarding your own contractual obligations.

1. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable federal, state, local, or international law or regulation
• Transmit any unsolicited or unauthorized advertising or promotional material (spam)
• Impersonate or attempt to impersonate T2 Consulting, a T2 Consulting employee, another user, or any other person or entity
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which may harm T2 Consulting or users of the Site
• Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site
• Use the Site to collect or harvest any personally identifiable information about other users

We reserve the right to terminate or restrict your access to the Site at any time, without notice, for any conduct that we, in our sole discretion, believe violates these Terms or is harmful to other users, us, third parties, or the integrity of the Site.

2. Free Tools and Lead Capture

T2 Consulting offers free tools through the Site, including the Free GROWTH Site Audit and the GROWTH Scorecard. By using these tools, you acknowledge and agree that:

• The audit results and scorecard outputs are generated using automated analysis and artificial intelligence and are provided for informational and educational purposes only. They do not constitute professional consulting, legal, financial, or marketing advice.
• Results are based on publicly available website data and automated signals. T2 Consulting does not guarantee the accuracy, completeness, or fitness for a particular purpose of any audit result.
• By submitting your name and email address to receive audit results or download the GROWTH Scorecard, you consent to receive email communications from T2 Consulting as described in our Privacy Policy. You may unsubscribe at any time.
• T2 Consulting reserves the right to modify, suspend, or discontinue any free tool at any time without notice or liability.

3. Consulting Services and Client Engagements

These Terms govern your use of the Site only. Paid consulting services, fractional CMO engagements, 90-Day Sprint programs, and other professional services offered by T2 Consulting are governed exclusively by a separate written Statement of Work (SOW) or service agreement executed between T2 Consulting and the client. In the event of any conflict between these Terms and a signed SOW, the SOW shall control with respect to the services described therein.

Submission of an application through the Site does not create a binding contract or guarantee acceptance into any T2 Consulting program. T2 Consulting reserves the right to accept or decline any application at its sole discretion.

4. Intellectual Property

The Site and its entire contents, features, and functionality — including but not limited to all text, graphics, logos, button icons, images, audio clips, data compilations, and software — are the exclusive property of T2 Consulting LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The GROWTH Method, GROWTH Scorecard, and all associated frameworks, methodologies, and branded materials are proprietary to T2 Consulting LLC. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Site without the prior written consent of T2 Consulting.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its free tools solely for your own internal business evaluation purposes. This license does not include the right to resell or make commercial use of the Site or its contents, or to collect and use any product listings, descriptions, or prices for the benefit of another merchant.

5. User Submissions

When you submit information through the Site — including website URLs for audit analysis, application responses, and contact form messages — you represent and warrant that:

• You have the right to submit the information and it does not violate any third-party rights
• The information is accurate and not misleading
• The submission does not violate any applicable law or regulation

By submitting a website URL for audit analysis, you represent that you are authorized to request an analysis of that website (e.g., you are the owner, operator, or authorized representative). T2 Consulting is not responsible for any consequences arising from the submission of URLs or information you are not authorized to share.

6. Disclaimer of Warranties

The following section contains important limitations on our liability. Please read carefully.

THE SITE AND ALL CONTENT, TOOLS, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. T2 CONSULTING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

T2 CONSULTING DOES NOT WARRANT THAT: (A) THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) DEFECTS WILL BE CORRECTED; (C) THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SITE WILL MEET YOUR REQUIREMENTS.

AUDIT RESULTS AND SCORECARD OUTPUTS ARE GENERATED USING AUTOMATED ANALYSIS AND ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. THEY DO NOT CONSTITUTE PROFESSIONAL ADVICE OF ANY KIND. T2 CONSULTING MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AUDIT RESULT.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL T2 CONSULTING LLC, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY CONTENT OR SERVICES OBTAINED THROUGH THE SITE.

IN NO EVENT WILL T2 CONSULTING'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

8. Indemnification

You agree to defend, indemnify, and hold harmless T2 Consulting LLC and its affiliates, licensors, service providers, employees, agents, officers, and directors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including but not limited to any use of the Site's content, services, and tools other than as expressly authorized in these Terms.

9. Third-Party Links and Services

The Site may contain links to third-party websites, tools, or services that are not owned or controlled by T2 Consulting. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We strongly advise you to read the terms and conditions and privacy policy of any third-party website you visit. Your use of third-party websites is at your own risk.

10. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the State of North Carolina, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of North Carolina. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Informal Resolution. Before filing any formal legal claim, you agree to contact T2 Consulting at [email protected] and attempt to resolve the dispute informally for at least 30 days before initiating any formal legal proceeding.

11. Changes to These Terms

We reserve the right to revise and update these Terms at any time in our sole discretion. All changes are effective immediately when posted and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. We will update the "Last Updated" date at the top of this page when changes are made. We encourage you to review these Terms periodically.

12. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and T2 Consulting regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

Waiver. No waiver by T2 Consulting of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

Assignment. You may not assign any of your rights or obligations under these Terms without our prior written consent. T2 Consulting may assign these Terms without restriction.
